Subscription Purchase Agreement

Between The HIPAA Journal and the Purchasing Organization (the Customer)
This Subscription Purchase Agreement (“Agreement”) is entered into by and between The HIPAA Journal, having its registered and mailing address at Unit #292, 110 North Akard Street, Dallas, Texas 75201, USA, (“Provider” or “The HIPAA Journal”), and the customer organization (“Customer”), as of the Effective Date (as defined below).
By purchasing a subscription, the Customer agrees to the following terms and conditions:
1. Nature of Agreement
1.1 This Agreement constitutes a Subscription Purchase Agreement for access to online employee training services provided by The HIPAA Journal.
1.2 The subscription shall be for a fixed period of twelve (12) months from the Effective Date (“Subscription Term”).
1.3 The legal jurisdiction governing this Agreement shall be Ireland, and all disputes shall be resolved under the laws of Ireland.
2. Subscription and Access
2.1 The subscription grants the Customer’s employees access to The HIPAA Journal’s online training modules for the duration of the Subscription Term.
2.2 The HIPAA Journal will provide the Customer with administrative access to enroll trainees and monitor completion status.
3. Payment Terms
3.1 Payment in Advance: All payments shall be made in advance for the full twelve (12) months of the annual subscription.
3.2 Accepted Methods: Payment shall be made online via credit or debit card (all major cards accepted) or bank wire transfer. Checks are not accepted.
3.3 Payment Security: Payment card details are processed securely and are not stored in any systems operated by The HIPAA Journal.
3.4 No Automatic Renewal: There is no automatic renewal of the subscription. The subscription expires at the end of the Subscription Term unless renewed by mutual agreement.
3.5 Renewal Notice: The HIPAA Journal team will contact the Customer in advance of the subscription renewal date to confirm renewal and accommodate any specific requirements.
4. Pricing and Additional Trainees
4.1 The subscription fee covers a specific number of trainees as specified in the purchase documentation.
4.2 Should the Customer add more than five (5) additional trainees beyond the number covered by the subscription, such additional trainees will be billed at the applicable per-trainee rate.
5. Corrections and Customer Satisfaction
5.1 The HIPAA Journal shall correct any errors or mistakes made by its team immediately and without delay upon notification by the Customer.
5.2 The HIPAA Journal provides a money-back guarantee if the Customer is not fully satisfied with the training. The Customer may request a refund within thirty (30) days of activation of the subscription.
6. Intellectual Property
6.1 All training content, materials, and related intellectual property remain the sole property of The HIPAA Journal.
6.2 The Customer is granted a limited, non-exclusive, non-transferable right to use the training materials solely for its internal employee training during the Subscription Term.
7. Confidentiality and Data Protection
7.1 Each party shall maintain the confidentiality of all proprietary and personal data exchanged under this Agreement.
7.2 The HIPAA Journal shall comply with applicable data protection laws, including GDPR and relevant privacy legislation, regarding the handling of trainee information.
8. Limitation of Liability
8.1 In no event shall either party be liable for indirect, incidental, or consequential damages arising from this Agreement.
8.2 The HIPAA Journal’s total liability shall not exceed the total subscription fees paid by the Customer during the Subscription Term.
9. Termination
9.1 Either party may terminate this Agreement for material breach upon thirty (30) days’ written notice if such breach is not cured within that period.
9.2 Upon termination or expiration, all access rights shall cease, and the Customer shall discontinue all use of the training materials.
10. Miscellaneous
10.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Ireland.
10.2 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior representations or agreements.
10.3 Notices: All notices shall be sent to the parties’ addresses stated above.
